That the Company be wound up voluntarily as a members’
voluntary liquidation.
That Shane McCarthy, of KPMG, 1 Stokes Place, St.
Stephen’s Green, Dublin 2, be appointed as liquidator (“the
Liquidator”) for the purposes of winding up the Company.
That the Liquidator be and is hereby authorised to distribute
to the members in specie or kind the whole or any part of the
assets of the Company (whether they shall consist of property
of the same kind or not) and for such purpose to set such value
as he deems fair upon any property to be divided as aforesaid
and to determine how such division should be carried out as
between the members and to make such interim distribution
to the members as he sees fit.
